Terms of Service

By creating an account on torly.ai ("Website"), downloading, installing, or using the TorlyAI Desktop application ("Desktop App"), or accessing any service provided by Innovatorly Ltd under the TorlyAI brand (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Service.

You must be at least 18 years old and legally capable of entering into a binding agreement under the laws of England and Wales. These Terms are supplemented by our Privacy Policy.

The Website and Desktop App form a single integrated platform. Your account, subscription, and project entitlements apply across both.

We offer multiple subscription tiers. Current plans and features are described on our Pricing Page. Certain higher-tier plans may be available exclusively through our sales team.

All prices are in Pounds Sterling (GBP) unless otherwise stated and are exclusive of applicable taxes. Payments are processed by Stripe. Subscriptions renew automatically unless you cancel before the renewal date. We do not offer refunds for partial billing periods.

We may change subscription prices with at least 30 days' written notice. If a payment fails, we will retry up to 3 times over 14 days before suspending your subscription.

Unless your plan explicitly states otherwise, your subscription entitles you to one (1) active Project at any time. A "Project" is a single business plan workspace containing chat sessions, business plan sections, financial models, tasks, and all exported documents.

• You may archive your active Project and activate a different one at any time
• Archived Projects remain on your device in full, with read-only access
• There is no limit on archived Projects stored locally
• Project switching is limited to 10 cycles per calendar month
• This limit applies regardless of how many devices you install the Desktop App on

You may install the Desktop App on multiple devices you personally own or control. All devices share the same Project entitlement — you may not create separate active Projects on each device to circumvent limits.

An anonymous device identifier is generated locally using non-reversible hashing. It does not contain personally identifiable hardware details and is used solely for licence validation and abuse prevention. See our Privacy Policy for details.

When your paid subscription ends (whether by cancellation, non-payment, or termination):

• Your account reverts to the free tier
• All Projects on your devices become read-only
• You may continue to view, search, and export all content you created
• We do not delete your data. Your content remains on your device indefinitely
• If you resubscribe, you may reactivate a Project and resume where you left off

We are committed to never holding your data hostage. Only AI-powered generation and agent interactions require an active subscription.

Paid plans require you to provide your own API key for a supported third-party AI provider ("Bring Your Own Key" or "BYOK"). Supported providers currently include:

• Anthropic (Claude) — recommended default
• OpenAI (GPT-4o, o3)
• Google AI Studio (Gemini)
• AWS Bedrock
• Google Cloud Vertex AI

All paid plans provide access to all 6 AI agents and all supported AI models. There are no per-operation quotas in BYOK mode.

You may not use TorlyAI to:

• Generate fraudulent, misleading, or unlawful content
• Submit fabricated information in visa applications
• Share your login credentials or allow others to use your account
• Reverse engineer, decompile, or derive the source code of the Desktop App
• Circumvent licence validation, authentication, or anti-abuse mechanisms
• Use automated tools or scripts that exceed normal human usage
• Configure hooks or automation that generate excessive AI requests
• Resell, redistribute, or commercially exploit the Service without written consent

You own your content. All content you create using the Service — including business plans, financial models, session transcripts, and exported documents — belongs to you. We claim no ownership, licence, or interest in your content.

Your content is stored locally on your device. We do not store your business plans, financial models, or session transcripts on our servers. The only data on our servers is account profile, project registration metadata, device identifiers, usage metrics, and billing records.

The Service, including the Desktop App, Website, AI agent system, and all underlying technology, is owned by Innovatorly Ltd and protected by intellectual property laws.

To the maximum extent permitted by law:

• The Service is provided "as is" without warranties of any kind
• We do not guarantee a successful visa application outcome
• We are not responsible for third-party AI provider services
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for indirect, incidental, or consequential damages

Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any matter where exclusion would be unlawful.

You may cancel your subscription at any time from your account settings. Upon termination, your locally stored data remains on your devices — we do not remotely delete your content.

We may suspend or terminate your account for material breaches of these Terms, with reasonable notice where practicable. We will not delete your data as an enforcement measure. You may appeal any action by contacting us.

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

We may update these Terms from time to time. For material changes, we will notify you by email at least 14 days before they take effect. Your continued use after changes constitutes acceptance.
